  • Accounting & Bookkeeping Services: Bookkeeping, accounting services, financial reporting, account reconciliation, backlog accounting, tax accounting, and accounting outsourcing.
  • Auditing Services: External audit, internal audit, financial audit, tax audit, audit for free zones, and audit firm services.
  • Corporate Tax Services: Tax registration, tax return filing, tax consultancy, CT documentation, transfer pricing, tax audit, and fine & penalties management.
  • VAT Services: VAT registration, VAT return filing, VAT consultancy, VAT accounting, VAT documentation, VAT refund, and VAT fines management.
  • Web Development & Marketing: Website design, development, and digital marketing services.
  • Business Consultancy: Strategic business advisory and consultancy services.
  • Software Solutions: Accounting and business management software implementation and support.

3. Service Engagement

3.1 Agreement: All service engagements must be formalized through a written agreement or engagement letter specifying the scope of work, deliverables, timelines, and fees.

3.2 Client Responsibilities: Clients must provide accurate, complete, and timely information and documentation required for service delivery. Delays in providing information may result in project delays.

3.3 Professional Standards: We adhere to applicable UAE laws, international accounting standards, and professional regulations governing our services.

4. Fees and Payment Terms

4.1 Fee Structure: Our fees are determined based on the scope and complexity of services and will be outlined in the engagement letter.

4.2 Payment Terms: Payment terms will be specified in the engagement letter. Generally, an advance payment may be required before commencement of services.

4.3 Late Payment: Late payments may incur additional charges as specified in the engagement letter.

4.4 Disputed Invoices: Any disputes regarding invoices must be raised within 7 days of receipt.

5. Confidentiality and Data Protection

5.1 Confidential Information: We will maintain strict confidentiality of all client information and data in accordance with professional standards and applicable laws.

5.2 Data Security: We implement appropriate technical and organizational measures to protect client data against unauthorized access, loss, or disclosure.

5.3 Data Retention: We will retain client records as required by UAE laws and professional standards.

5.4 Third-Party Disclosure: We may disclose client information only when required by law or with explicit client consent.

6. Intellectual Property Rights

6.1 Website Content: All content on our website, including text, graphics, logos, and software, is the property of ZBS and protected by applicable intellectual property laws.

6.2 Work Product: Upon full payment, clients will own the final deliverables as specified in the engagement letter. ZBS retains the right to use general knowledge and experience gained.

6.3 Software Licenses: Any software provided is licensed, not sold, and remains the property of ZBS or its licensors.

7. Limitation of Liability

7.1 Professional Services: Our liability is limited to the fees paid for the specific service that gave rise to the claim, unless otherwise specified in the engagement letter.

7.2 Indirect Damages: We shall not be liable for any indirect, consequential, or incidental damages including loss of profits or business opportunities.

7.3 Third-Party Claims: We are not liable for any claims arising from third-party reliance on our work product unless specifically agreed in writing.

7.4 Information Accuracy: Our work is based on information provided by clients. We are not liable for errors resulting from incomplete or inaccurate client information.

8. Website Use and Disclaimers

8.1 Information Purpose: Website content is provided for general information purposes only and does not constitute professional advice.

8.2 No Warranty: We do not warrant the accuracy, completeness, or timeliness of website content.

9.1 By Client: Clients may terminate services by providing written notice as specified in the engagement letter. Fees for work completed until termination date will be payable.

9.2 By ZBS: We reserve the right to terminate services if payment is not received, required information is not provided, or if continuing the engagement would violate professional standards or laws.

9.3 Post-Termination: Upon termination, we will provide completed work and return client documents upon settlement of outstanding fees.

10. Compliance with UAE Laws

All services are provided in compliance with UAE Federal and Emirate-level laws and regulations, including but not limited to:

  • UAE Federal Tax Authority regulations
  • VAT Law (Federal Decree-Law No. 8 of 2017)
  • Corporate Tax Law (Federal Decree-Law No. 47 of 2022)
  • UAE Commercial Companies Law
  • International Financial Reporting Standards (IFRS)
  • International Standards on Auditing (ISA)

11. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, government actions, pandemics, strikes, or technical failures.

12. Dispute Resolution

12.1 Negotiation: Any disputes shall first be attempted to be resolved through good faith negotiation between the parties.

12.2 Mediation: If negotiation fails, parties agree to attempt mediation before pursuing legal action.

12.3 Jurisdiction: These Terms shall be governed by the laws of the United Arab Emirates. The courts of Dubai shall have exclusive jurisdiction over any disputes.

13. Amendments to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our website. Continued use of our services following any changes constitutes acceptance of the revised Terms.

14. Professional Indemnity Insurance

ZBS maintains professional indemnity insurance coverage as required by applicable regulations and professional standards.

19. Severability
